Tata Consultancy Services (TCS), a global leader in IT services, consulting, and business solutions, is inviting applications for the role of Mergers and Acquisitions Manager at its Mumbai office. The role offers the opportunity to work closely on high-value domestic and international M&A transactions and to collaborate with cross-functional teams in a dynamic corporate environment.

Eligibility

  • 5 to 10 years of legal experience, with at least 5 years focused on M&A, demergers, divestments, and corporate restructuring (in a corporate legal department or law firm).

  • Strong knowledge of the Companies Act, 2013, SEBI Regulations, FEMA Regulations, employment and labour laws, IP laws, antitrust regulations, and data privacy laws (including GDPR).

  • Prior experience in legal due diligence, drafting, reviewing, and negotiating M&A documentation.

  • Excellent communication, analytical, and collaboration skills.

Roles and Responsibilities

  • Support senior team members in M&A transactions, coordinating with strategy, finance, tax, HR, and other cross-functional teams.

  • Conduct legal due diligence and highlight key risks with recommendations for risk mitigation.

  • Draft, review, and negotiate M&A documents such as NDAs, Engagement Letters, Letters of Intent, Share Purchase Agreements, Asset Purchase Agreements, Business Transfer Agreements, and IP Agreements.

  • Engage with external lawyers and advisors to ensure smooth execution of transactions.
