Experience Required:
• 2.5 – 6 years of Post-Qualification Experience (PQE)

Role Overview:
This is a transaction-focused role involving end-to-end involvement in corporate deals, from structuring and due diligence to drafting and closing. The selected candidate will work closely with senior lawyers and clients on investments, acquisitions, and corporate advisory mandates.
Key Responsibilities:
1. Transaction Execution
• Assisting in structuring and executing M&A and PE/VC transactions
• Supporting deal lifecycle from term sheet to closing
• Coordinating with clients, investors, and stakeholders
2. Drafting & Negotiation
• Drafting and reviewing transaction documents such as:
• Share Purchase Agreements (SPA)
• Shareholders’ Agreements (SHA)
• Subscription Agreements (SSA)
• Assisting in negotiations and revisions of commercial terms
3. Due Diligence & Advisory
• Conducting legal due diligence for investments and acquisitions
• Identifying risks and preparing due diligence reports
• Advising clients on corporate governance and compliance
4. Regulatory & Compliance Work
• Advising on applicable laws and regulatory frameworks
• Supporting filings and approvals for transactions
• Assisting in ongoing corporate compliance matters
Skills & Attributes Required:
• Strong drafting and analytical skills
• Sound understanding of corporate and commercial laws
• Experience in transactional work (M&A / PE/VC)
• Ability to work in a fast-paced, deadline-driven environment
• Good communication and client-handling skills
