About the Opportunity
LegaLogic is seeking a Senior Legal Advisor to join its M&A – Capital Markets Team in Pune. The role involves handling complex capital markets and IPO-related transactions, advising clients on regulatory and transactional matters, and leading high-value public and private market deals in a fast-paced law firm environment.

Experience Required

4+ years of relevant experience in Capital Markets / IPO practice
Key Responsibilities

Leading and managing capital markets and IPO transactions
-
Structuring, reviewing, and negotiating term sheets and transaction frameworks
-
Drafting and finalising offer documents and transaction documentation

Advising on and handling:
-
Initial Public Offerings (IPOs)
-
Follow-on Public Offers (FPOs)
-
Rights Issues
-
Preferential Allotments
-
Qualified Institutional Placements (QIPs)
-
Private Placements
-
-
Drafting and reviewing DRHP, RHP, prospectuses, offer letters, and disclosures
-
Advising on SEBI regulations, ICDR, LODR, Companies Act, and stock exchange compliances
-
Conducting and supervising legal due diligence for capital markets transactions
-
Advising on mergers, demergers, acquisitions, restructuring, fundraising, and public market transactions
-
Acting as the primary liaison with SEBI, stock exchanges, RoC, merchant bankers, auditors, and other intermediaries
-
Handling regulatory filings and submissions

Advising on pre- and post-listing compliances, corporate governance, and insider trading regulations

Conducting legal research on corporate and securities law developments
-
Mentoring and supervising junior associates

Managing transaction timelines, stakeholder coordination, and deal closure
Education & Certifications
-
LL.B. from a recognised law school
-
Company Secretary (CS) qualification – Preferred

Strong exposure to Capital Markets and IPO work

Excellent drafting, negotiation, analytical, and research skills

Ability to manage multiple transactions simultaneously
