About the Role

ELP is currently inviting applications for experienced lawyers to join its Corporate and Commercial Team at the Mumbai office.

This role is designed for mid-to-senior level professionals who are adept at handling complex corporate transactions, engaging directly with clients, and managing transactions from inception to completion. The position offers exposure to sophisticated PE/VC and M&A work, cross-border transactions, and strategic advisory mandates, alongside opportunities to expand into allied areas such as corporate litigation and regulatory advisory.

Position Details

Designation: Principal Associate / Senior Associate
Location: Mumbai
Experience Required: 6 to 8 years of post-qualification experience

Key Responsibilities

Drafting, reviewing, and negotiating transaction documents including Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), Shareholder Agreements (SHA), Business Transfer Agreements (BTA), term sheets, and other ancillary documents
Advising on Private Equity, Venture Capital, and Mergers & Acquisitions transactions in the unlisted space; experience in listed transactions (including open offers, delisting, and public disclosures) is an added advantage
Managing transactions through the entire lifecycle, including structuring, due diligence, documentation, negotiation, and closing
Leading and supervising legal due diligence exercises and coordinating with internal and external stakeholders
Providing advisory support on corporate and commercial laws, including the Companies Act, 2013, SEBI regulations (such as LODR and PIT Regulations), and foreign exchange laws
Engaging directly with clients, providing practical legal solutions, and ensuring timely and effective communication
Demonstrating adaptability by handling diverse work streams, including corporate advisory, drafting, negotiations, and corporate litigation, as required
Keeping abreast of evolving legal and regulatory developments and picking up new areas of practice as part of a dynamic team environment

Who Should Apply

This opportunity is ideally suited for legal professionals who demonstrate:

6–8 years of experience in corporate and commercial law with a focus on PE/VC and M&A
Strong drafting, negotiation, and transaction management skills
A sound understanding of Indian corporate and regulatory frameworks
The ability to independently manage transactions and client relationships
A proactive, detail-oriented, and adaptable approach to legal practice
