About the Opportunity
A leading Tier 1 law firm in Mumbai is inviting applications for senior-level positions in its Corporate practice. The firm seeks lawyers with strong experience in M&A, private equity, venture capital, and regulatory advisory. These roles offer the opportunity to work on high-value, complex transactions alongside experienced partners and sector specialists.
Eligibility
Applications are open for the following roles:
• Principal Associate: Minimum 7 years PQE
• Senior Associate: Minimum 5 years PQE
Candidates must have:
• An LL.B. from a recognised law school
• Prior experience in reputable law firms
• Strong command over Indian corporate, FDI, and securities laws
• Excellent drafting, negotiation, analytical and client-handling skills
• Ability to manage multiple transactions and deadlines
• A proactive and collaborative work approach
Roles and Responsibilities
For Both Roles:
• Manage domestic and cross-border M&A, private equity, and venture capital transactions
• Conduct and supervise legal due diligence and risk assessments
• Draft, review, and negotiate key transactional documents, including Share Purchase Agreements, Share Subscription Agreements, Shareholders’ Agreements, Investment Agreements, Business/Asset Transfer Agreements, Term Sheets and NDAs
• Advise clients on Companies Act compliance, SEBI regulations, FEMA (including FDI and ODI), labour laws, contractual obligations, and sector-specific regulatory requirements
• Provide deal structuring and regulatory advice
• Liaise with regulators, consultants, and transaction stakeholders
• Manage closing processes, post-deal advisory, filings and ongoing compliance
Additional Responsibilities for Principal Associate:
• Independently run and negotiate transactions with minimal supervision
• Mentor and guide junior team members
• Support partners in client strategy, business development and knowledge initiatives
• Act as a key client contact for complex matters
