About the Internship:

Iron Systems is seeking a proactive and detail-oriented Legal, Vendor & Worker Compliance Intern to join their Legal and Compliance team. This role offers hands-on experience in legal negotiations, vendor governance, contract lifecycle management, and regulatory compliance across global operations.


Eligibility Criteria:

  • Final-year LLB/LLM student from a recognized university

  • Strong skills in legal research, drafting, and contract negotiation

  • Prior exposure to corporate law, IT service contracts, resource augmentation, and compliance frameworks is preferred

  • Proficient in MS Office tools (Word, Excel, PowerPoint)

  • Excellent analytical, communication, and multitasking abilities

  • Capable of working in a fast-paced and global business environment


Key Responsibilities:

1. Contract Negotiations & Drafting

  • Negotiate IT service and resource augmentation contracts with customers and vendors worldwide

  • Review pre-bid customer SOWs and assist the sales team in aligning contractual terms

  • Draft and review NDAs, MSAs, SOWs, and various commercial agreements

2. Contract Execution & Lifecycle Management

  • Ensure alignment of customer SOW terms in vendor SOWs

  • Monitor timely execution, renewal, and internal approvals of vendor contracts

  • Analyze risks related to missing or delayed vendor SOWs

3. Compliance & Governance

  • Monitor vendor compliance and maintain governance over SOWs

  • Review onboarding documents and assist in closing compliance gaps

  • Support internal and customer audit requirements related to vendors

4. Dispute Resolution & Risk Management

  • Identify and mitigate legal risks in vendor contracts

  • Develop dispute resolution strategies and manage SOW-related conflicts

  • Negotiate penalty clauses and claim service credits where applicable

5. Monitoring & Reporting

  • Track and report SOW sign-off progress weekly

  • Recommend changes to SOW clauses to improve vendor performance and SLA adherence

  • Ensure effective vendor contract management and accountability

6. Other Support Activities

  • Support vendor onboarding documentation and gap resolution

  • Assist with sourcing and onboarding vendors for new programs and projects
